1. Acceptance of Terms
By accessing or using Nexus Forum ("the Platform"), operated by Polaruuma Ltd, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.
2. Eligibility
You must be at least 18 years old to use this Platform. By creating an account, you represent that the information you provide is accurate and that you have the legal authority to enter into these terms. Organizations registering through representatives must ensure the representative has authority to bind the organization.
3. Account Types and Responsibilities
Individual Talent: You are responsible for the accuracy of your skills, experience, and availability information. Misrepresentation may result in account suspension.
Startup Founders: You represent that you have the authority to register the startup and that the information provided (financials, traction, team) is truthful. Submitting fraudulent information is grounds for immediate removal.
Investors: You represent that you are an accredited investor or have the authority to make investment decisions on behalf of your organization. Investor accounts require verification and admin approval before full access is granted. Misrepresenting your identity or investment capacity is strictly prohibited.
4. Platform Services
Nexus Forum provides talent discovery, startup-investor matchmaking facilitated by human Connectors, community networking, and deal pipeline tracking. The Platform does not provide investment advice, guarantee funding outcomes, or serve as a broker-dealer. All introductions are facilitated — investment decisions are made independently between the parties involved.
5. Connector Role
Connectors are platform administrators who review startup profiles and facilitate introductions to investors. Connectors exercise editorial judgment and do not guarantee that any startup will receive introductions or that any introduction will result in funding. Connector recommendations are opinions, not endorsements.
6. Community Guidelines
Users must not post content that is harassing, defamatory, fraudulent, or illegal. The Platform employs Monitors who may hide, remove, or flag content that violates community standards. Repeated violations may result in temporary muting or permanent account suspension. Users may report content they believe violates these guidelines.
7. Intellectual Property
You retain ownership of all content you submit (profiles, pitch decks, posts, messages). By submitting content, you grant Nexus Forum a non-exclusive, royalty-free license to display, distribute, and share your content within the Platform for the purpose of providing our services. Pitch decks shared via the Platform are confidential and must not be redistributed by recipients without the founder's explicit consent.
8. Confidentiality
Investors who receive startup profiles or pitch decks through the Platform agree to treat this information as confidential. Sharing startup information outside the Platform without the founder's consent is a violation of these terms and may result in account termination.
9. Fees and Payment
The Platform is currently free to use. When paid features or subscription tiers are introduced, fees will be clearly disclosed before any charges are applied. Refund policies will be published alongside any paid offerings. We reserve the right to introduce transaction fees on successful investor connections facilitated through the Platform, with advance notice to affected users.
10. Limitation of Liability
Nexus Forum and Polaruuma Ltd are not liable for any investment losses, failed business relationships, or damages arising from use of the Platform. We do not guarantee the accuracy of information provided by other users. Users engage with each other at their own risk, and all investment decisions should involve independent due diligence and professional legal and financial advice.
11. Account Termination
We reserve the right to suspend or terminate accounts that violate these terms, provide fraudulent information, engage in abusive behavior, or use the Platform in ways that harm other users or the platform's integrity. You may delete your account at any time by contacting us.
12. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from the use of this Platform shall be resolved in the courts of Lagos, Nigeria, unless otherwise agreed by both parties.
13. Changes to Terms
We may modify these terms at any time. Material changes will be communicated via email or in-platform notification at least 14 days before taking effect. Continued use of the Platform after changes constitutes acceptance.
